The PwC M&A team is pleased to announce the successful Closing of Project Blue Poland, the sale of Solvachem sp. z o.o (“Solvachem”), a Poland-based subsidiary of Saldovis Holding S.à.r.l. (“Saldovis”), to VIA WEST spółka z ograniczoną odpowiedzialnością (“Via West”), an MBI/ MBO vehicle. Solvachem was a portfolio company of Special Situations Venture Partners II funds, which are exclusively advised by Orlando Management AG. PwC M&A acted as exclusive financial advisor to the Vendor on this transaction.
The share purchase agreement for Solvachem was signed on 27th May 2019 and the transaction was closed within the same week.
Solvachem is a Poland-based subsidiary of Saldovis. Solvachem serves customers in various industries by distributing chemical admixtures ranging from base products to special active substances, as well as raw materials. In 2018, Solvachem generated revenues of approx. € 60m with more than 20 employees.
Solvachem was formerly part of the Solvadis Group, a Germany-based top tier European chemicals distribution and marketing company, which was acquired by Sojitz, a leading Japanese trading company, in 2017.
Via West is a vehicle formed for the combined management buy-in (“MBI”) and management buy-out (“MBO”) of this transaction.
