PricewaterhouseCoopers AG WPG (“PwC”) was mandated by DC plus Beteiligungs GmbH and by the insolvency administrator Dr Jan Markus Plathner, after filing for insolvency, as exclusive M&A advisor on the sale of the assets of DC plus Beteiligungs GmbH including its shareholdings. We conducted a competitive auction process with international strategic investors as well as financial sponsors. The deal with Langley Holding plc was signed on 4th of November 2014 and closed on 28th November 2014.
Headquartered in Ammerbuch (near Tübingen), DC DruckChemie is an international leader in the development, manufacturing and waste processing of chemical and technical products for the off-set printing industry. The offering includes over 800 products and services (e.g. hazardous waste disposal) and is compatible with all major suppliers of printing machines.
The company has a strong international footprint with some 25 locations in Benelux, Czech Republic, France, Germany, Italy, Poland, Switzerland, the UK as well as Brazil. DC DruckChemie has almost 300 FTE and generates approx. € 75m net sales in 2013.
Langley Holdings PLC is a diverse global engineering group, based in the UK with 5 principal operating divisions located in Germany, France and the UK and a network of over 70 worldwide subsidiaries. The group produces capital equipment ranging from uninterruptible power supply units and systems for data centers and other mission critical applications, machinery for cement plants and material handling, food packaging lines, automotive welding equipment and, most recently, printing presses. The group employs more than 4,000 people worldwide and has an annual turnover in excess of € 800m.
The DC DruckChemie transaction is the second one in the printing sector after the acquisitions of manroland sheetfed GmbH in 2012.
